All our offers shall be deemed subject to confirmation.
Other terms and conditions of supply and sale will not be accepted unless mutually agreed in writing.
Delivery of goods shall take place from the station of the place of manufacture.
Goods shall travel at the risk and for the account of the consignee.
The transport companies shall be liable for damage during transport.
Acceptance of consignments received in a damaged condition shall be refused and the goods shall be held at the disposal of the transport company.
This shall not be included in the price and shall be charged as an extra.
The invoice amount shall be payable net within 30 days.
No deductions for early payments shall be allowed.
The customer shall not be entitled to withhold payments even in the event of complaint.
Offsetting against counterclaims shall not be allowed.
05.1 RETENTION OF TITLE
Goods shall become the recipient’s property only after full payment.
We shall do our best to meet the agreed deadline which shall, however, be nonbinding.
The customer shall not be entitled to claim compensation or withdraw from the contract due to failure to meet the delivery deadline.
Disruptions to operation through events of force majeure such as strikes and delayed deliveries of raw materials shall release us from the delivery obligations entered into.
The goods supplied shall correspond to the agreements made as regards design and quality in accordance with the valid order confirmation, specification or contract for work and services.
Work test certificates to EN 10 204-2.1/2.2/3.1/3.2shall be submitted for raw and auxiliary materials where agreed.
The seller shall not be reliable for the decision whether the products and the materials are compatible to the customer's usage.
Deliveries of up to 10 % more or less than the ordered quantities shall not be rejected.
Stamping and other special tools, regardless of whether they are charged for in whole or in part, shall remain the supplier’s property, shall not be surrendered and shall be kept for two years for subsequent orders.
If no further orders are placed during that time, we shall dispose of such tools as we deem fit.
The customer shall accept responsibility for ensuring that the models and drawings used in executing the order do not infringe third-party rights, in particular copyrights and industrial property rights.
The customer shall indemnify the supplier for all losses which the supplier incurs in any way due to infringement of third-party rights in connection with the supply.
The seller shall reserve the right to rescind the contract in case of difficulty in the supply itself or in supply at the agreed prices due to exceptional circumstances such as, without limitation, involvement in war or compulsory government measures of any kind at home or abroad (import or export bans or restrictions, rises in customs duties, currency fluctuations, increases in prices of material or wages, etc.) to an extent beyond the cyclical fluctuations usual even under normal conditions.
Instead of rescinding the contract, the seller may maintain it at his discretion and merely propose a corresponding increase in the agreed selling prices or apply to supply substitute materials.
Complaints shall only be checked and accepted if notified in writing no later than 8 days after receipt of goods, enclosing a sample of the goods rejected. Later claims cannot be countenanced. In the event of a justified claim we shall be free, at our own discretion, either to supply a flawless replacement or to grant a price reduction.
Further claims such as replacement of content, compensation for consequential losses such as wages, freight costs, etc. shall in principle not be allowed.
Liability shall extend only to the material supplied.
The place of performance and jurisdiction shall be Münchenstein / Reiden / Muttenz.
For all disputes between the parties Swiss material law shall be applicable. International agreements shall be excluded.
