All offers made by us remain conditional unless they have been expressly agreed to be firm offers. An offer is only deemed to have been accepted when it has been confirmed by us in writing. All subsequent agreements or amendments require our written confirmation.
Technical documentation, such as drawings, descriptions, illustrations and specifications of dimensions and weight are intended only as close approximations. We reserve the right to make alterations in the case of the final product.
Provided no other written agreement exists to the contrary, all our prices are quoted in Swiss francs, net with no deductions for deliveries ex works, unpacked and with no customs duty paid, in the case of domestic deliveries Swiss federal turnover tax is not included. The contractually agreed prices refer to the deliveries and work whose extent and execution have been expressly agreed upon. Any additional services not included in the contract or the order confirmation will be charged separately. AlI sundry expenses such as the cost of freight insurance, import, export and transit licences and permits of any other kind shal1 be borne by the purchaser. Should the customer require delivery to be made carriage paid the transport costs are calculated on the basis of the rates prevailing on the day of dispatch. Packing materials are charged at cost and are non-returnable.
Payment shall be effected by the purchaser to the address of the supplier with no deduction of cash discount expenses, taxes or other charges of any kind. In the case of part shipments, payment shall be made in accordance with the extent of the individual shipments. The agreed dates for payment shall also be complied with even in the event of transportation, delivery, assembly, start-up or acceptance being delayed or made impossible for reasons for which the supplier cannot be held responsible. Payments cannot be reduced or withheld because of complaints, claims or counter claims that are not recognised by the supplier. Payment must also be effected in the absence of minor components whose absence does not make delivery impossible. Or in the event of subsequent work being necessary after delivery.
Delivery shall be deemed to have been completed when the goods in question are handed over at the station of dispatch or to the transport company. Even in the case of carriage paid deliveries, transport is at the risk of the consignee. Transport insurance will only be taken out at the express request of the purchaser and at his own expense. The rail station for all shipments is Münchenstein, Switzerland.
The delivery time starts as soon as we are in possession of a complete written order and after receipt of the payment due at the time of ordering. The delivery time shall be deemed to have been complied with if the goods in question have been manufactured in our works on expiry of this delivery time. The delivery time will be extended commensurately in the event of unforeseen obstacles, such as acts of Gods, breakdown of production facilities, accidents, delay in the supply of documentation and materials by the purchaser, delay in the delivery of materials by subcontractors beyond our control, as well as in the event of the purchaser falling behind with the agreed payments. The delivery time can also be commensurately extended in the event of the order being changed by the purchaser
AlI claims for compensation for direct and indirect damages which might be entailed as the result of any delay in delivery are expressly excluded, as is the right of the purchaser to withdraw from the contract or to cancel the order in the event of the delivery time being exceeded.
Once confirmed by us, orders cannot be cancelled without our express agreement. The amount of the compensation payable to us is governed by the status of the order at the time of cancellation. Any such compensation shall cover the work involved in planning and construction, the material and manufacturing costs as well as any claims as might be made by subcontractors concerned with the subject matter of the contract.
We provide a warranty for our deliveries in accordance with the regulations laid down by the SWISSMEM. The length of the warranty period is reduced commensurately in the case of multiple shift operations. The guarantee period commences when the goods in question leave our works. If dispatch is delayed due to the fault of the purchaser, the guarantee period can be extended by a maximum of two months commencing with the notice that the goods are ready for dispatch. We undertake to repair or replace as rapid only as possibly any parts which prove to be defective or unserviceable as a result of bad material, incorrect manufacture or poor workmanship. This obligation to indemnify applies only to such part as are not liable to wear and tear in the course of normal operations. The warranty applies only to the repair or replacement of defective parts; all installation costs and other expenses shall be borne by the purchaser. We expressive disclaim all liability for any direct and indirect damages which might be thus entailed by the purchaser and for damage or unserviceability of individual parts arising from contact with unsuitable materials, inadequate maintenance, incorrect operations or acts of God. Moreover, we further disclaim any liability for direct and indirect damages in respect of the operational unsuitability of such machinery and equipment for special operating conditions about which we were not informed or in the event of the machinery and equipment being insufficiently rated due to no fault of our own. The warranty immediately becomes null and void should the purchaser himself or a third party undertake modifications or repairs without our written consent. Any spare parts which are replaced become our property and should be returned to us carriage paid unless we expressive waive such a right.
All machinery and equipment are tested for operational safety in our workshops or manufacturing facilities after completion or immediately before dispatch. If required this testing can be carried out in the presence of the purchaser without any extra cost. Should such testing be required on the purchaser's premises, the purchaser is responsible for all the costs involved. In the event of our supplying products from another manufacturer, we undertake the same warranty obligations as are provided to us by our subcontractors. All obligations under the warranty are valid in respect only of the party directly placing an order with us.
Complaints of all kinds must be made in writing within 14 days at the latest following receipt of the goods or the invoice.
Illustrations, drawings and dimensional sketches which are issued before the firm order is placed are not binding on the definitive machinery manufactured; we expressive retain the right to make modifications in respect of both material and form. The weights quoted are approximations only quotations, drawings and all graphical material remain our property; without our express consent these items may not be copied in any way, not given to third parties, not used by others in order to manufacture similar products.
Assembly and take in use are included in our prices.
The place of fulfilment for delivery and payment is Basel. The place of jurisdiction is also Basel. Swiss law shall be the sole law applying to these «General Terms of Delivery».
These general terms of delivery are binding; any stipulations on the part of the purchaser that deviate from these terms shall on I y be valid if they have previously been expressive agreed upon in writing. By placing an order, the purchaser agrees to abide by the terms and conditions contained herein.
